Terms of Service

1. Introduction
These terms govern your use of Stoneset (“the Service”), operated by Prospy Limited, a company registered in England and Wales (“we”, “us”, “our”). By using the Service, you agree to these terms.
2. The Service
Stoneset provides AI governance classification, obligation mapping, and document generation tools. The Service is a decision-support tool and does not constitute legal advice.
Where the Service generates compliance documents, those documents are delivered as drafts. They become your compliance record only when you adopt them under your named compliance officer's signature. The adoption mechanism is described in section 7.
You are responsible for verifying classifications and ensuring your AI systems comply with applicable regulations. We recommend consulting qualified legal counsel for binding compliance decisions.
3. Accounts
You must provide accurate information when creating an account. You are responsible for maintaining the security of your account credentials and for all activity under your account.
4. Subscriptions & Billing
- Paid plans are billed on a recurring subscription basis. Prices are in USD and exclude applicable taxes, including UAE VAT where it applies.
- You may cancel subscriptions at any time. Cancellation takes effect at the end of the current billing period.
- We reserve the right to change pricing with 30 days' notice. Existing subscriptions are honoured until renewal.
- The free tier allows one classification with no credit card required.
5. Acceptable Use
You agree not to:
- Use the Service for any unlawful purpose
- Attempt to reverse-engineer, decompile, or extract our classification engine or algorithms
- Resell or redistribute compliance outputs without our written consent
- Exceed the usage limits of your plan (AI system count, team members)
6. Intellectual Property
The Service, including its classification engine, document templates, prompts, and interface, is the intellectual property of Prospy Limited. Your compliance outputs (classifications, reports, evidence packs, adopted documents) belong to you.
7. Document Generation & Customer Adoption
Where you use the Service to generate AI governance documents (including but not limited to risk management, data governance, technical documentation, human oversight, quality management, and ongoing monitoring records), the following applies in addition to the rest of these terms.
- Drafts and watermarking.Every generated document is delivered as a draft, watermarked “DRAFT — NOT YET ADOPTED” on every page. It is not a finished compliance record until you adopt it.
- Your review obligation. You are contractually obligated to review every generated document for accuracy, completeness, and applicability to your specific AI system before adopting it. The Service produces a draft based on the facts you provide; verifying that those facts and the resulting document reflect your system is your responsibility.
- Adoption. A document becomes your compliance record only when your named compliance officer explicitly adopts it by ticking the adoption confirmation within the Service. At that moment, the watermark is removed, an audit entry is recorded with the user, timestamp, and IP address, and the document is bound to you as its author.
- Liability transfer. Under applicable AI governance regimes, the regulatory obligations attaching to an AI system sit with the entity that operates or places that system on the market — i.e. you. Adoption does not create regulatory liability that did not already sit with you; it formalises the document as your compliance record under your signature. We are your tooling, not the operator of your AI system.
- No warranty of acceptance. We do not warrant that any generated document will be accepted by any regulator, pass any audit, or result in any specific compliance outcome. We warrant only that the document is produced consistently with the structural requirements of the framework it cites and using the tooling and prompts disclosed in our method disclosures at the time of generation.
- Method statement. Every generated document includes a method statement appendix disclosing the tooling used, the prompts in effect at generation, and the date of adoption. You may not remove this appendix.
8. Limitation of Liability
The Service is provided “as is”. To the fullest extent permitted by law, we exclude liability for indirect, consequential, or incidental damages. Our total liability is limited to the fees you paid in the 12 months preceding the claim.
Stoneset is a compliance tool, not a legal service. We do not guarantee regulatory compliance outcomes.
9. Termination
We may suspend or terminate your access if you breach these terms. You may close your account at any time by contacting us. On termination, your data will be deleted in accordance with our Privacy Policy. Documents you have adopted before termination remain yours.
10. Governing Law
These terms are governed by the laws of England and Wales. Disputes shall be subject to the exclusive jurisdiction of the English courts.
11. Changes
We may update these terms from time to time. Material changes will be communicated with at least 30 days' notice via email or in-app notification.
